1.Agreement to Terms

By creating an account or using the OjaCircle mobile application (“the App”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App.

These Terms constitute a legally binding agreement between you (“User”, “you”) and Ojawaju LTD (“Ojawaju”, “we”, “us”, “our”), a company registered with the Corporate Affairs Commission of Nigeria.

2.About OjaCircle

OjaCircle is a digital platform for rotating savings circles (also known as ROSCA, ajo, esusu, or contribution groups). The App enables users to:

  • Create and join savings circles with defined contribution schedules
  • Maintain multi-currency digital wallets (NGN, USD, GBP, EUR, GHS, KES)
  • Make and receive contributions, payouts, and transfers
  • Earn reward points through platform participation
  • Verify identity through our KYC verification process
  • Manage personal savings goals

OjaCircle is a technology platform that facilitates peer-to-peer savings arrangements. We are not a bank, deposit-taking institution, microfinance bank, or licensed financial institution. Funds held in your OjaCircle wallet are not bank deposits and are not insured by any deposit protection scheme.

3.Eligibility

To use OjaCircle, you must:

  • Be at least 18 years of age
  • Be legally capable of entering into a binding agreement
  • Provide accurate and truthful registration information
  • Not be subject to an active ban or suspension on the platform
  • Not have been previously removed from the platform for violation of these Terms

By creating an account, you represent and warrant that you meet all eligibility requirements.

4.Account Registration and Security

4.1 Registration

You must provide a valid email address, your full legal name, phone number, and country of residence during registration. You are responsible for ensuring all information is accurate and up to date.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and transaction PIN
  • All activity that occurs under your account
  • Notifying us immediately if you suspect unauthorised access to your account

We are not liable for any loss arising from unauthorised use of your account where you have failed to maintain adequate security of your credentials.

4.3 One Account Per Person

Each individual may maintain only one OjaCircle account. Creating multiple accounts is prohibited and may result in immediate suspension of all accounts and forfeiture of reward points.

5.Identity Verification (KYC)

5.1 Verification Levels

OjaCircle operates a tiered identity verification system:

  • Level 0 (Unverified): Account created, limited platform access
  • Level 1 (Basic): Self-declared identity information
  • Level 2 (Identity Verified): Government-issued ID and selfie biometric verification through our third-party partners (Mono Prove for African markets; Stripe Identity for international markets)
  • Level 3 (Enhanced): Additional supporting document review

5.2 Verification Requirements

Certain features require minimum verification levels. You may be required to complete identity verification before:

  • Joining certain savings circles
  • Creating savings circles
  • Making withdrawals above certain thresholds
  • Accessing higher trust tiers

5.3 Verification Data

By initiating identity verification, you consent to the collection and processing of your identity documents and biometric data by our verification partners. Full details are provided in our Privacy Policy. We reserve the right to refuse or revoke verification if we reasonably believe submitted information is false, misleading, or fraudulent.

6.Trust Score System

6.1 How It Works

OjaCircle maintains a behavioural reputation system that assigns each user a trust score (0–1,000) and corresponding trust tier (Newcomer, Member, Trusted, Verified, Champion, Legend). Your trust score is calculated based on:

  • Timeliness of contribution payments
  • Circle participation history and reliability
  • Endorsements received from other members
  • Identity verification level
  • Platform tenure

6.2 What It Affects

Your trust tier determines your access to features including:

  • Maximum number of circles you can join or create
  • Maximum contribution amounts per period
  • Withdrawal processing speed
  • Whether endorsements are required to join circles
  • Daily and monthly withdrawal limits

6.3 Your Responsibilities

You acknowledge that:

  • Your trust score may decrease if you fail to meet contribution obligations, leave circles after receiving payouts, or engage in other behaviour the platform deems unreliable
  • Trust tier limits are enforced automatically and cannot be overridden
  • You may request a review of your trust score by contacting us

7.Savings Circles

7.1 How Circles Work

A savings circle is a group of users who agree to contribute a fixed amount at regular intervals (weekly, biweekly, or monthly). In a rotating circle, one member receives the full pool of contributions each period, rotating until all members have received a payout.

7.2 Circle Owner Responsibilities

If you create a circle, you are responsible for:

  • Setting accurate and fair circle parameters (contribution amount, frequency, maximum members)
  • Managing membership and responding to join requests in a timely manner
  • Not modifying circle rules mid-cycle in ways that disadvantage existing members

7.3 Member Obligations

By joining a circle, you agree to:

  • Make all required contributions on time and in full for the duration of the circle
  • Maintain a sufficient wallet balance to cover contributions when due
  • Not leave or abandon a circle after receiving your payout while others have not yet received theirs
  • Accept the rotation order as determined by the platform

7.4 Payout-Then-Leave Behaviour

Leaving a circle after receiving your payout but before the circle completes is considered a serious violation. This behaviour:

  • Is automatically detected by our fraud monitoring systems
  • Will result in a significant reduction to your trust score
  • May result in escalated action including account suspension on repeated occurrences

7.5 Failed Contributions

If you fail to make a required contribution:

  • Your contribution will be marked as overdue
  • Your trust score will be negatively affected
  • The circle owner and other members will be notified
  • Repeated failures may result in removal from the circle

7.6 No Guarantee of Payout

While OjaCircle provides tools and incentives to encourage members to meet their obligations, we do not guarantee that all members will fulfil their contributions. OjaCircle is not liable for losses arising from another member's failure to contribute.

8.Wallet and Financial Transactions

8.1 Wallet

Your OjaCircle wallet allows you to hold funds in supported currencies. Wallet balances are used for circle contributions, transfers, and withdrawals. Wallet funds are held by Ojawaju and are not bank deposits. They are not covered by any deposit insurance scheme.

8.2 Deposits

You may fund your wallet through supported payment methods (card payments, bank transfers, USSD). Deposits are processed by our payment partners (Flutterwave for Nigerian transactions; Stripe for international transactions). Deposit amounts must meet the minimum threshold for the applicable currency.

8.3 Withdrawals

You may withdraw funds from your wallet to a linked bank account, subject to:

  • Minimum withdrawal amounts per currency
  • Daily and monthly withdrawal limits based on your trust tier
  • Withdrawal processing times based on your trust tier (ranging from instant for Champion/Legend tiers to 7 days for Newcomer tier)
  • Transaction PIN verification
  • Successful identity verification at the required level

Withdrawal requests are submitted to our operations team for processing. Processing times are targets, not guarantees, and may be subject to delays for verification, fraud review, or operational reasons.

8.4 Fees

Ojawaju may charge fees for certain transactions including deposits, withdrawals, and currency conversions. Current fee schedules are displayed in the App before you confirm a transaction. We reserve the right to modify fees with reasonable notice.

8.5 Transaction PIN

You are required to set a 4-digit transaction PIN to authorise financial operations. You are solely responsible for the security of your PIN. We do not store your PIN — only an irreversible hash — and cannot recover it for you.

9.Subscriptions

9.1 Subscription Tiers

OjaCircle offers optional subscription plans (Free, Premium, Pro) that provide additional features including higher circle limits, increased contribution caps, access to giving circles, and reward multipliers.

9.2 Billing

Subscriptions are billed through the Apple App Store (iOS) or Google Play Store (Android). By subscribing, you agree to the billing terms of the applicable store platform.

9.3 Cancellation and Refunds

  • You may cancel your subscription at any time through the App Store or Play Store
  • Cancellation takes effect at the end of the current billing period
  • Refunds are governed by the policies of the Apple App Store or Google Play Store, not by Ojawaju
  • Features associated with your subscription tier will revert to the Free tier upon cancellation

10.Rewards and Referrals

10.1 Reward Points

You may earn reward points through platform activities including timely contributions, referrals, identity verification, and other eligible actions. Point values and eligible actions are determined by Ojawaju and may change at any time.

10.2 Reward Distributions

Accumulated points may make you eligible for periodic reward distributions from the platform reward pool. Distributions are calculated based on your points relative to the total pool and are credited to your rewards wallet. Distribution amounts are not guaranteed and depend on pool funding and participation levels.

10.3 Referral Programme

You may earn reward points by referring new users who successfully register using your referral code. Self-referrals (referring yourself via a second account or shared device) are prohibited and will result in forfeiture of referral rewards and potential account action.

10.4 No Cash Value

Reward points have no independent cash value outside the OjaCircle platform and cannot be transferred, sold, or exchanged except through the platform's distribution mechanism.

11.Prohibited Conduct

You agree not to:

  • Create or use multiple accounts
  • Provide false, misleading, or fraudulent identity information
  • Use the platform for money laundering, terrorism financing, or any illegal purpose
  • Engage in collusion with other users to manipulate circle payouts
  • Exploit platform vulnerabilities or attempt to circumvent security measures
  • Use automated tools, bots, or scripts to interact with the platform
  • Harass, threaten, or abuse other users
  • Self-refer or manipulate the referral system
  • Attempt to reverse, dispute, or charge back legitimate deposits after receiving circle payouts
  • Use the platform in any manner inconsistent with applicable law

12.Fraud Detection and Account Actions

12.1 Monitoring

We employ automated systems to monitor for suspicious activity including unusual transaction patterns, duplicate accounts, velocity abuse, and collusion behaviour. By using the platform, you consent to this monitoring.

12.2 Account Actions

If we detect or reasonably suspect prohibited conduct, we may, at our sole discretion:

  • Temporarily limit specific account functions (rate limiting)
  • Suspend your account pending investigation
  • Freeze wallet balances
  • Permanently ban your account
  • Report suspicious activity to relevant authorities

12.3 Global Bans

A global ban freezes all wallet balances and prevents all platform activity. Global bans are imposed by our operations team after review and may be permanent. We are not obligated to disclose the specific evidence or methodology used in our fraud determination.

12.4 Appeals

You may request a review of account actions by contacting us at support@ojacircle.com. We will review your request but are not obligated to reverse any action.

13.Intellectual Property

The OjaCircle App, including its design, features, content, trademarks, and underlying technology, is the property of Ojawaju LTD and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the App.

14.Third-Party Services

OjaCircle integrates with third-party services for payment processing, identity verification, notifications, and other functionality. Your use of these services is subject to their respective terms and conditions. We are not responsible for the acts or omissions of third-party service providers.

Third-party services include but are not limited to: Flutterwave, Stripe, Mono Prove, Stripe Identity, Firebase, SendGrid, Apple App Store, and Google Play Store.

15.Disclaimers

15.1 Service Availability

OjaCircle is provided on an “as is” and “as available” basis. We do not guarantee that the App will be uninterrupted, error-free, or free of harmful components. We may perform maintenance, updates, or modifications that temporarily affect availability.

15.2 No Financial Advice

Nothing in the App constitutes financial, investment, tax, or legal advice. OjaCircle is a savings facilitation tool, not a financial advisory service. You should consult appropriate professionals for financial guidance.

15.3 Circle Outcomes

We do not guarantee any particular financial outcome from circle participation. The success of a savings circle depends on the conduct of its members, which is beyond our control.

16.Limitation of Liability

To the maximum extent permitted by applicable law:

  • Ojawaju shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App
  • Ojawaju's total liability for any claim arising from these Terms or your use of the App shall not exceed the total fees paid by you to Ojawaju in the 12 months preceding the claim
  • Ojawaju shall not be liable for losses caused by other users' failure to meet their circle obligations
  • Ojawaju shall not be liable for delays or failures in withdrawal processing caused by third-party payment providers, banks, or regulatory requirements

17.Indemnification

You agree to indemnify and hold harmless Ojawaju LTD, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the App
  • Your breach of any law or regulation
  • Your violation of any third party's rights

18.Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

18.2 Informal Resolution

Before initiating formal proceedings, you agree to first attempt to resolve any dispute by contacting us at support@ojacircle.com. We will attempt to resolve the matter within 30 days.

18.3 Jurisdiction

Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

19.Data Protection

We collect and process your personal data in accordance with our Privacy Policy, which forms part of these Terms. By using OjaCircle, you acknowledge that you have read and understood the Privacy Policy.

20.Account Termination

20.1 Termination by You

You may request account deletion at any time through the App or by contacting us. Account deletion is subject to:

  • Resolution of any active circle memberships
  • Settlement of pending financial obligations
  • Withdrawal of available wallet balance
  • Cancellation of active subscriptions

20.2 Termination by Us

We may suspend or terminate your account at any time if:

  • You violate these Terms
  • We are required to do so by law or regulation
  • Your account is subject to a fraud investigation
  • Your account has been inactive for an extended period

20.3 Effect of Termination

Upon account termination:

  • Your access to the App will be revoked
  • Your wallet balance (if any) will be handled per our account closure procedures
  • Financial records will be retained as required by law
  • Personal data will be deleted or anonymised per our Data Retention and Deletion Policy

21.Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the “Last Updated” date
  • We will notify you via in-app notification or email
  • Continued use of the App after notification constitutes acceptance of the updated Terms
  • If you do not agree to the changes, you must stop using the App and may request account deletion

22.General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ojawaju regarding the use of OjaCircle.

22.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

22.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations to an affiliate or successor entity.
